1. Acceptance of Terms

By accessing, browsing, or using the NPXORA platform (the "Platform"), including all associated websites, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

NPXORA reserves the right to modify these Terms at any time. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. It is your responsibility to review these Terms periodically for updates.

3. User Eligibility and Account Registration

3.1 Eligibility Requirements

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements.

Users must be residents of Nepal or have a valid legal presence in Nepal to conduct transactions on the Platform. International users may access the Platform for informational purposes only.

3.2 Account Creation

To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.

You must not create multiple accounts for fraudulent purposes or to circumvent Platform policies. NPXORA reserves the right to suspend or terminate accounts that violate this requirement.

3.3 Account Termination

NPXORA may terminate your account at any time for any reason, including but not limited to: violation of these Terms, fraudulent activity, non-compliance with Platform policies, or inactivity.

4. User Responsibilities and Conduct

4.1 Prohibited Activities

Users agree not to engage in any of the following activities:

• Posting false, misleading, or fraudulent listings or information
• Harassment, abuse, or discrimination against other Users
• Posting illegal, obscene, or defamatory content
• Attempting to circumvent Platform security measures
• Engaging in money laundering, fraud, or other illegal activities
• Posting content that violates intellectual property rights
• Spam, phishing, or malware distribution
• Impersonating another person or entity
• Unauthorized access to Platform systems or data
• Interfering with the normal operation of the Platform

4.2 Listing Standards

All listings must comply with the following standards:

• Listings must accurately describe the item, property, or service being offered
• Prices must be clearly stated in Nepali Rupees (NPR) or other agreed currency
• Images and descriptions must not be misleading or deceptive
• Listings must not contain contact information other than through the Platform's messaging system
• Listings must not violate any applicable laws or regulations
• Listings must be in one of the supported languages on the Platform

Users are solely responsible for the accuracy and legality of their listings. NPXORA is not responsible for the content of user-generated listings.

5. Intellectual Property Rights

5.1 Platform Content

All content on the Platform that is not user-generated, including but not limited to the Platform's design, layout, graphics, logos, text, and software, is the exclusive property of NPXORA or its licensors and is protected by copyright and other intellectual property laws.

5.2 User-Generated Content

By posting Content on the Platform, you grant NPXORA a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display your Content for the purpose of operating and improving the Platform.

6. Transactions and Payments

6.1 Transaction Facilitation

NPXORA acts as a marketplace platform that facilitates transactions between Users. NPXORA is not a party to any transaction and does not control the quality, safety, or legality of listings or the ability of Users to complete transactions.

6.2 Refunds and Disputes

Refund policies are determined by the individual seller and should be clearly stated in the listing. NPXORA provides a dispute resolution mechanism for transaction-related conflicts. Users agree to attempt resolution through NPXORA's dispute process before pursuing legal action.

7. Liability and Disclaimers

7.1 "As-Is" Disclaimer

The Platform is provided on an "as-is" and "as-available" basis. NPXORA makes no warranties, express or implied, regarding the Platform, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Liability

To the maximum extent permitted by law, NPXORA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if NPXORA has been advised of the possibility of such damages.

8. Privacy and Data Protection

NPXORA collects and uses personal data in accordance with its Privacy Policy. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

NPXORA implements reasonable security measures to protect user data. However, no security system is impenetrable. NPXORA is not responsible for unauthorized access to your account or data due to factors beyond its control.

9. Dispute Resolution

9.1 Informal Resolution

Before initiating formal proceedings, Users agree to attempt to resolve disputes through informal negotiation with the other party and, if necessary, through NPXORA's dispute resolution process.

9.2 Governing Law

These Terms and all disputes arising from them shall be governed by the laws of Nepal, without regard to its conflict of law principles.

10. Compliance with Laws

Users agree to comply with all applicable laws and regulations when using the Platform. This includes laws related to consumer protection, taxation, anti-fraud, anti-money laundering, and export controls.

Users may not list or trade in items or services that are illegal in Nepal or the jurisdiction where the transaction is to occur. Prohibited items include but not limited to: weapons, drugs, stolen goods, counterfeit items, and endangered species.
